TERMS AND CONDITIONS: 1. The Keyboardwizard Contest (“Contest”) is arranged by Steinberg Media Technologies GmbH ("Steinberg"), sponsored by Intel GmbH ("Intel") and Asus Computer GmbH ("Asus") and hosted at www.keyboardwizard.net (Websitedesign by Elektrik Pyjamas). 2. The contest is open to residents of Austria, Germany, Greece, Ireland, Lithuania, Poland, Slovakia, Switzerland, UK, USA, Canada, Russia and Japan. All national and local laws and regulations of the resident’s country of residence apply, unless superseded by other law. 3. Contest participants must speak, read and understand English and be individuals over 18 years of age who are not a member of or affiliated to any royalty collection society. Steinberg, Intel, Asus, Elektrik Pyjamas employees and employees of its distributors its affiliates, subsidiaries , advertising and promotion agencies and the immediate families of each are not eligible to enter. This limitation is void where prohibited. 4. The participant guarantees that the provided song or sound material is an original creation by the participant using the software Sequel 2 or Sequel 2 Trial and that the song is based on the samples produced by Jordan Rudess (“Contributions”). 5. Steinberg, Intel, Asus and Elektrik Pyjamas may refuse your Contributions for any good reason. 6. To take part in the Contest you must create your song with Sequel 2 or the Sequel 2 Trial. If you do not have a Sequel 2 version first you have to download and install the Sequel 2 Trial Version for PC or Mac. Then download and install the Keyboard Wizard Content. Please use the displayed download links and follow the upcoming instructions. You have to use as minimum 10 loops of the Keyboard Wizard Content, mix it with other Sequel audio loops or MIDI files or with your own recordings and submit it 7. You will be asked to enter contact information so that we can contact you for Contest announcements and prize distribution. Your contact information will be treated in accordance with Steinberg’s privacy policy which you can review at http://www.steinberg.net/en/legal/privacy_policy.html 8. Winners will receive following prizes:
9 .The participant guarantees that the audio material submitted does not affect or is not affected by the rights of any third party. Participant shall indemnify and hold harmless Steinberg, Intel, Asus and Elektrik Pyjamas from all claims and costs including reasonable attorney fees if a third party should claim rights or a copyright collecting society should claim charges or license fees. 10. You agree to submit Contributions to the Contest on under the following conditions: a. Steinberg and Intel does not claim ownership of your Contributions to the Contest in form of sound material, sample code, content, videos, articles or any other contributions you submit to. By submitting your Contributions, you are granting Steinberg, Intel and its affiliated companies the following worldwide, non-exclusive, perpetual, irrevocable, royalty-free, unconditional, fully paid-up rights: (1) to make, have made, use, copy, reproduce, modify, and create derivative works of the contributions, (2) to publicly perform or display, import, broadcast, transmit, distribute (directly and indirectly through multiple tiers), license, offer to sell and sell, rent, lease, or lend copies of the contributions (and derivative works thereof), (3) to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties, and (4) to publish your name or alias in connection with this Contest and your Contributions; however, you waive your right to be mentioned as author. b. c. Apart from prizes offered as part of the Contest, no monetary compensation will be paid for any of your Contest Contributions. 11. The Contest will run from 25th August 2009 until August 25th November 2009. To be eligible to take part in this Contest, the entry must be uploaded through the provided form on www.sequel-music.net website by the 25th November 2009. Subsequent entries will be automatically disqualified. The winners will be notified by email. 12. Steinberg and Intel decide on the winning entries at its discretion. The jury consisting of sound specialists will decide on the winner following a process of elimination. The participant’s entry must be in accordance with the terms of participation in paragraph 6. Prizes are not transferable or redeemable in cash; prizes may be substituted with alternative award of equal or higher value. 13. Steinberg, Intel, Asus and Elektrik Pyjamas shall not be responsible for technical errors in and/or costs for telecommunications networks, Internet access or any other circumstance that prevents entry to the Contest. 14. Steinberg, Intel, Asus and Elektrik Pyjamas shall not be liable for any loss or damage howsoever caused (whether in contract, tort or statutory duty or otherwise) arising out of or in connection with the Contest and/or prize and the material submitted. 15. If a selected potential winner cannot be contacted, is ineligible (under these Terms and Conditions or due to a failure to comply with any of the other applicable policies, licenses, rules and terms) or fails to claim a prize, prize may be forfeited and an alternate potential winner may, at Steinberg, Intel, Asus and Elektrik Pyjamas discretion, be selected. Prizes awarded for the winning contributions will be sent to participants within six (6) weeks from the date of the notification email. 16. The winner accepts responsibility for all federal, state and local taxes and fees in connection with the prizes. This contest is void where prohibited or restricted by law, and subject to applicable federal, state provincial and local laws. 17. Steinberg, Intel, Asus and Elektrik Pyjamas do not provide any warranty on the prizes. To the fullest extent allowable by law, Steinberg, Intel, Asus and Elektrik Pyjamas specifically disclaim any representations or warranties, express or implied, regarding the prizes, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. 18. Steinberg, Intel, Asus and Elektrik Pyjamas may, on notifying you, immediately suspend or terminate your rights, if you breach these rules or if we reasonably believe that you have submitted a contribution in violation of these rules. 19. Contributing to the contest or accepting prizes will constitute acceptance of the Terms and Conditions. Should any provision, in total or in part, be or become invalid, the validity of the other provisions shall not be affected thereby. The invalid provision shall be replaced by such valid provision which corresponds as closely as possible to the intention and purpose of the invalid provision. These Terms and Conditions shall be governed by the laws of the Federal Republic of Germany without the conflicts of law and the application of UN Convention on Contracts for the International Sale of Goods (CISG). Any recourse to courts of law regarding the participation is excluded. 20.
